There is a good article in the July 17th issue of PC Magazine on Software Escrow. It points out the dangers of relying on small companies and startups for code development and how to mitigate some of those by escrowing the source code to software they write for you. Having been involved with a couple startups I can tell you that this has come up before, usually from large corporations who have their eye on the risk ball.
